Terms & Conditions

These Terms and Conditions ("Terms") are entered into by and between Blooming Eve Inc.  ("Platform") and the Service Provider ("Service Provider"). By clicking "I Agree," the Service Provider agrees to the following terms:

‍1. Scope of Services
‍The Platform acts as a payment agent facilitating payments for services booked by patients through the Platform. The Service Provider agrees to provide services to patients who book appointments through the Platform.

‍2. Payment Terms
Invoice Submission: The Service Provider shall submit invoices or email confirmations to the Platform detailing services rendered to patients who booked through the Platform.
‍Payment Processing: The Platform will process payments to the Service Provider for services provided to patients. Payments will be made in accordance with the Service Provider's invoice and subject to verification.
‍Insurance Payments: In cases where the patient's insurance covers the service, the Platform will make out-of-pocket insurance payments to the Service Provider. The timing and amount of such payments will be governed by the terms of the patient’s insurance policy.

‍3. Refund Policy
Refund Requests: Patients may request refunds for services. Each refund request will be evaluated on a case-by-case basis by the Platform.
‍Refund Process: Upon approval of a refund, the Platform will coordinate with the Service Provider to process the refund. The Service Provider agrees to cooperate with the Platform in handling refunds.

‍4. Reconciliation and Verification
Reconciliation: The Platform will reconcile payments based on invoices or email confirmations received from the Service Provider. The reconciliation will include details of the patient, services provided, and the amount due.
‍Verification: The Service Provider agrees to provide any necessary documentation or clarification required by the Platform to verify the services rendered and amounts invoiced.

‍5. Mutual Interests and Relationship
Mutual Promotion: Both parties agree to mutually promote and prioritize the relationship established under these Terms. The Service Provider shall not engage in activities or enter into agreements that may undermine the effectiveness of this partnership.
‍Exclusive Engagements: The Service Provider acknowledges the importance of maintaining the exclusivity of this relationship and agrees to avoid entering into any agreements with third parties that offer similar platforms or services that might conflict with the interests of the Platform.

‍6. General Provisions
Confidentiality: Both parties agree to maintain the confidentiality of patient information and payment details in compliance with applicable laws and regulations.
‍Dispute Resolution: Any disputes arising under these Terms will be resolved through good faith negotiations between the parties. If unresolved, the parties may seek mediation or arbitration as mutually agreed upon.
‍Termination: Either party may terminate these Terms with written notice to the other party. Upon termination, the Platform will settle any outstanding payments for services rendered up to the termination date.

‍7. Governing Law
‍These Terms shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of law principles.

‍8. Entire Agreement
‍These Terms constitute the entire agreement between the parties and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral.
